8.00 Officers

8.01 Election of Vice-President by Members

  1. The Vice-President of the Association shall be elected for a term of two (2) years by the members of the Association. To be eligible for such office, a person must be:
    1. a member of the Association;
    2. nominated in accordance with a procedure established by the Nominating Committee; and
    3. from a college or constituency different from that of the President then in office.

    Voting for the position of Vice-President shall be by way of mail ballot and shall take place prior to the Annual General Meeting.

  2. In the event the Vice-President is unable or unwilling to complete his or her term of office or ceases to be qualified to hold the office, an election shall forthwith be called to elect a new Vice-President to hold office for the balance of the term.

8.02 Vice-President to Become President

The Representative who held the office of Vice-President shall assume the office of President for a term of two years immediately following the end of his/her term as Vice-President.  It shall be a qualification of the office of the President that the person holding it be a Representative of the Association.


8.03 Election of Secretary and Treasurer

The directors shall annually elect from amongst themselves a Secretary and a Treasurer. It shall be a qualification of the office of the Secretary and the Treasurer that the person holding these positions be a director of the Association.


8.04 Appointment of Other Officers

The Council shall appoint additional officers of the Association, who need not be directors as follows:

  1. Counsellor, who shall be the immediate Past President of the Association and who shall serve for a one (1) year term;
  2. Two (2) delegates of the Association to the Ontario Council of University Faculty Associations (“O.C.U.F.A.), one of whom will be the Counsellor, shall be appointed for a two (2) year term, or until he or she ceases to be a delegate to O.C.U.F.A., whatever is the earliest;
  3. Grievance Information Officer who shall be appointed by the Council by secret ballot, such person to be selected from candidates proposed by the Executive Committee;
  4. Chairs of the following Standing Committees:
    1. Salary
    2. Pension & Benefits
    3. Academic Freedom
    4. Health and Safety
    5. Collective Agreement

    Chairs of Standing Committees shall be elected by the membership in accordance with Article 14. Such additional officers who are not directors will become ex-officio directors.


8.05 Other Restriction on Officers

No person shall hold an office for more than five (5) consecutive years and no more than two (2) positions within any given year.


8.06 Removal of Officers

Any officer may be removed by resolution passed by 2/3 of the Council whenever in its judgment the best interests of the Association would be served by such removal.


8.07 Duties of the President and Vice-President

The President shall, when present, preside at and chair all meetings of the members of the Association, Council and Executive Committee. The President shall supervise the affairs and develop policies of the Association. The President and the Secretary or other officer appointed by the Council for the purpose shall sign all by-laws and membership certificates and have the other powers and duties from time to time prescribed by the Council or incident to his or her office. During the absence or inability of the President, his or her duties and powers may be exercised by the Vice-President or in the absence or inability to act as the Vice-President, such other director as Council may from time to time appoint for the purpose. If the Vice-President, or such other director as the Council may from time to time appoint for the purpose, exercises any such duty or power, the absence or inability to act of the President shall be presumed with reference thereto. The Vice-President shall also perform the other duties from time to time prescribed by the Council or incident to his or her office.


8.08 Duties of the Secretary

The Secretary shall act as the clerk of Council. He or she shall attend all meetings of the Council and of the members of the Association and ensure all facts and minutes of all proceeding in the books are kept for that purpose. The Secretary shall ensure the safekeeping of the seal of the Association and of all books, papers, records, correspondence, contracts, and documents belonging to the Association. The Secretary shall ensure that all notices required to be given to members and to directors and shall perform such other duties as may from time to time be determined by Council.

The Secretary shall plan social and professional events of interest to the membership.


8.09 Duties of the Treasurer

The Treasurer shall ensure that full and accurate accounts of all receipts and disbursements of the Association in proper books of account and shall ensure that all monies or other valuable effects in the name and to the credit of the Association in such bank or banks or financial institutions as may from time to time be designated by the Council. The Treasurer shall disburse the funds of the Association under the direction of the council, taking proper vouchers therefor and shall render to the Council at the regular meeting thereof or whenever required of him/her by Council, an account of all transactions as Treasurer and of the financial position of the Association. She/He shall also perform such other duties as may from time to time be determined by the Council or incident to his or her office.


8.10 Duties of the Counsellor

The Counsellor shall assist the President with development of policy for the Association and shall act as Public Relations Officer for the Association and be responsible for internal liaison within the Association. In the absence of the President and Vice-President, the Counsellor shall assume their duties.


8.11 Duties of Other Officers

The duties of all other officers of the Association shall be such as the terms of their engagement call for or as the Council prescribes. (See Appendix 1)
