University of Guelph Faculty Association Inc.
(hereinafter called the “Association”)

BE IT ENACTED as a by-law of the Association as follows:

1.00 Interpretation

1.01 In this by-law and all other by-laws and resolutions of the Association, unless the context otherwise requires:

“Act”

means the Corporation Act, R.S.O. 1990, Chapter C. 38, and any statute that may be substituted therefor, as from time to time amended;

“Council”

means the board of directors of the Association as described in the Act;

“Letters Patent”

means the letters patent incorporating the Association, as from time to time amended and supplemented by supplementary letters patent;

“Documents”

means all paper writing, including deeds, mortgages, charges, conveyances, transfers and assignments of property, real or personal, immovable or moveable, agreements, releases, receipts and discharges for the payment of money or other obligations and conveyances;

“Representatives”

mean those members elected to Council in accordance with section 5.07 (b) hereof;

“University”

means the University of Guelph;

Words importing the singular shall include the plural and vice versa; words importing the masculine gender shall include the feminine and neuter genders; and words importing personal shall include individuals, corporations, partnerships, trusts, unincorporated organizations and any number of aggregates of persons unless the context requires otherwise.

1.02 Headings used in the by-laws of the Association are for convenience of reference only and shall not affect the construction or interpretation thereof.
