10.00 Conflict of Interest

10.01 Every director who has, directly or indirectly, any interest in any contract or transaction to which the Association is or is to be a party, other than as a member of the Association shall declare his or her interest in such contract or transaction at a meeting of the directors of the Association in accordance with the provisions of the Act.

10.02 A director shall not vote or use personal influence on any matter requiring disclosure pursuant to Article 10.01 hereof and shall not be counted in the quorum for a meeting at which the Executive Committee or Council as the case may be, proposes to take on any such matter. The director may briefly state a position on the matter, and answer pertinent questions of the Executive Committee or Council members. The minutes of all actions taken on such matters shall clearly reflect that these requirement have been met.
