The employer shall indemnify and save harmless each member against damages and legal costs related to any action or claim against the member arising out of his or her employment activities or responsibilities or any activities or responsibilities incidental thereto, including but not limited to research, scholarly activities, service, and teaching.
Should the member and the employer have conflicting interests or the possibility of conflicting interests, the employer shall assume the cost of independent legal counsel chosen by the member.
The member shall give timely notice to the employer of any action or claim of which the member has knowledge.
